INVESTMENT STRATEGY
- The Group Principals will find suitable investments and bring a proposal for investors to evaluate
- The Investors decide whether they want to invest and how much to invest
- Once there are enough firmly committed funds the Principals will negotiate on behalf of the investors
- The investors approve the final deal before closing
- The Principals, current owners and a designated investor develop a business plan for the company
- The investors participate actively or delegate the group in the governance process (e.g. attend board meetings, due diligence…)
How would the acquisition process work?
- Each class of investor gets to choose how much they want to invest in any given target, in order of priority:
Operating Investor: 1st Choice
Active Investor: 2nd Choice
Passive Investor:3rd Choice
- The Principals and select investors perform due diligence
- The Active/Operating Investors nominate the Board and select a Chairman (the CEO)
- The CEO appoints the top management (GM and CFO)
- The CEO and the Principals, preferably with top management participation, develop the Business Plan
- Management runs the business and the investors oversee operations through quarterly board meetings
